Referral Partner Program

Terms and Conditions

This Referral Fee Agreement (hereinafter the "Agreement") is made by and between Shelley's Social Media, LLC of MADISON, 1574 W Broadway St, STE 200, Madison, WI 53713(hereinafter referred to as "Seller" or "Business") and Referrer that signed the form (herinafter referred to as "Referrer" or "Recipient").

WHEREAS, Referrer has contacts within the Digital Marketing industry and desires to act as an intermediary finder of buyers for Seller's services;

 NOW, THEREFORE, in consideration of the premise and the mutual promises and covenants contained herein, the parties agree as follows:

  • Referrer certifies that no certification or licensure is required by the Digital Marketing industry.

The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party upon at least 5 days' prior written notice.

For the term of this Agreement, Referrer shall have the non-exclusive right to introduce prospective buyers to the Seller who are not already known to the Seller.

The following must take place in order for the Referrer to be paid. If these conditions are not met, Referrer will receive no payment.

 

- Shelley's Social Media, LLC requires the client or customer for whom the work will be performed to sign a contract of three months or more

OR

- The Client or Customer for whom the work will be performed signs a Website Design Contract.

- Before the Referrer is paid, the Client or Customer for whom the work is to be performed must pay the initial invoice plus the required setup fee.   

The Referrer's fee shall be calculated as 20% of the net value of the first month plus the set-up Fee of the services sold by the Seller as a direct result of an introduction. The net value shall exclude value-added tax, postage and packaging, service fees, insurance, refunds, and payments not honored by a financial institution.

Upon determination of referrer fees due, the Referrer shall issue an invoice to the Seller and payment shall be due net thirty (30) days from the date of the invoice.

 

Acceptable forms of payment include the following:

The Referrer must invoice the Seller via email address shelley@shelleyssocialmedia.com to be paid.

During the term of this Agreement and for 1 year thereafter, the Seller will not attempt to do business with, or otherwise solicit any buyers found or otherwise referred by Referrer to the Seller for the purpose of circumventing, the result of which shall be to prevent the Referrer from realizing or recognizing a commission or Referrer's fee. If such circumvention shall occur the Referrer shall be entitled to any commissions due pursuant to this Agreement or Referrer's fee relating to such transaction.

This Agreement represents the entire agreement with respect to the subject matter hereof and terminates and supersedes all prior understandings or agreements with respect to such matters. This Agreement may be amended only in writing signed by both parties

In the event any one or more of the provisions contained in this Agreement shall for any reason be held invalid, illegal, or unenforceable in any respect, that invalidity, illegality, or unenforceability shall not affect any other provisions. This Agreement shall be construed as if the invalid, illegal, or unenforceable provision had never been contained in it.

This Agreement shall be governed by the laws of Wisconsin, without giving effect to principles of conflicts of law.

Any signature (including any electronic symbol or process attached to, or associated with, a contract or other record and adopted by a Person with the intent to sign, authenticate or accept such contract or record) hereto or to any other certificate, agreement or document related to this transaction, and any contract formation or record-keeping through electronic means shall have the same legal validity and enforceability as a manually executed signature or use of a paper-based recordkeeping system to the fullest extent permitted by applicable law, including the Federal Electronic Signatures in Global and National Commerce Act, the Wisconsin State Electronic Signatures and Records Act, or any similar state law based on the Uniform Electronic Transactions Act, and the parties hereby waive any objection to the contrary.

The Agreement shall be effective as of the Effective Date on which the form was submitted or document has been signed.
