TERMS AND CONDITIONS FOR SOCIAL MEDIA MANAGEMENT, MARKETING, PPC ADVERTISING, AND SEO SERVICES

1️⃣ Agreement to Terms

These Terms and Conditions (“Agreement”) govern your purchase and use of services (“Services”) provided by Shelley's Social Media, LLC (“Company,” “we,” “our,” or “us”). By purchasing any of our services, you (“Client,” “you”) agree to be bound by the terms below. If you do not agree, you may not use our services.

Our services are customized to enhance your brand's digital presence and growth.

3️⃣ Payment & Billing 💳

📅 Billing Frequency

🔹 Social Media Management & Marketing - Billed monthly.
🔹 PPC Advertising - Billed monthly, based on ad spend.
🔹 SEO Services - Billed monthly or as per a custom contract.

💰 Payment Terms

✅ All payments must be made in advance before services begin.
✅ Payments are non-refundable.
✅ Clients are billed for the full period upfront.
✅ If payment is not made, services will be paused.

🚨 Late Payment Policy

⚠️ $30 late fee if payment is overdue by 5 days.
⚠️ 5% late fee on overdue amounts after 19 days.
⚠️ 1.5% monthly interest on unpaid balances.
⚠️ Services placed on hold after 19 days until full payment is received.

4️⃣ Scheduling & Cancellations 📅

⏰ Scheduling

📌 Sessions must be scheduled through our designated platform.

❌ Cancellation Policy

❗ 24-hour notice required for cancellations or rescheduling.
❗ Failure to cancel within this timeframe = forfeited session with no refund.

5️⃣ Client Responsibilities 🤝

📌 Collaboration & Implementation

💬 The Client must collaborate in executing Social Media, PPC, and SEO strategies.
📩 Timely responses to requests for feedback, materials, and approvals are required.

🔑 Access to Accounts

🔓 The Client must provide access to relevant social media, ad accounts, and website backends.
⏳ Lack of access may delay services or impact performance.

📸 Content Submission & Approval

📅 Content must be provided within 3 business days to avoid delays.
📝 Monthly content calendars must be reviewed within 3 business days.
✍️ Individual post approvals are not included but can be added for $260/hr (billed in 15-minute increments).

🎯 PPC Advertising Compliance

🔹 Client is responsible for ad compliance with platform policies.
🔹 PPC ads do not require pre-approval unless specifically requested.

📊 SEO Services

📝 The Client must submit required materials within 3 business days.
📌 Timely implementation affects SEO performance.

6️⃣ No Guarantees 🎯

We do not guarantee specific outcomes such as traffic increases, sales, or engagement growth, as marketing success depends on many factors.

7️⃣ Data Management, Security & Retention 🔒

✅ Client is responsible for data backup and security.
🗑️ Records will be securely deleted after 1 year.
💾 Data recovery may be available at an additional cost.

8️⃣ Confidentiality & Intellectual Property 📑

🔐 Both parties agree to keep proprietary information confidential.
📝 All materials, strategies, and content created by Shelley's Social Media remain our intellectual property.
🚫 Content may not be shared, resold, or distributed without written consent.

9️⃣ Termination & Refunds ❌

🔸 Services can be terminated with written notice per our Cancellation Process.
🔸 No refunds for terminated contracts.

⚖️ Early Cancellation Fees

📌 A 25% Service Termination Fee applies to remaining payments.
📌 Must be paid in full before cancellation is processed.

🔟 Service Pauses ⏸️

✅ PPC services can be paused up to 6 months.
✅ Social Media Management can be paused up to 3 months.
⏳ Service pause terms vary by project and may involve adjustments in deliverables, timelines, and pricing upon resumption. All pause requests must be confirmed in writing.

1️⃣1️⃣ Force Majeure 🌎

Neither party is responsible for delays or non-performance due to natural disasters, wars, pandemics, or government restrictions.

1️⃣2️⃣ Limitation of Liability ⚖️

❌ We are not liable for:

Search engine algorithm changes
Data breaches or third-party platform suspensions
Loss of business opportunities 📌 Our total liability is capped at payments made in the last 6 months.

1️⃣3️⃣ Governing Law ⚖️

This Agreement is governed by Wisconsin state law. Disputes will be resolved in Dane County, Wisconsin.

1️⃣4️⃣ Access & Data Management upon Cancellation 🚪

📅 Access to platforms is removed within 30 days of cancellation.
📌 Clients have 30 days to retrieve data before deletion.
🗑️ Files deleted permanently after 3 months.
🔹 Additional post-cancellation assistance is $265 per hour.

1️⃣6️⃣ Contract Renewal 🔄

📌 Contracts are for one year, with automatic renewal unless canceled.
📅 Renewal notices will be sent before the next billing cycle.
