Shelley's Social Media, LLC – Company Policies

📌 Purpose of the Policy

This page provides an overview of the company policies governing the purchase and use of Social Media Management, Marketing, PPC Advertising, SEO services, and Website Design provided by Shelley's Social Media, LLC ("Company," "we," "our," or "us"). These policies serve as a reference for clients and potential customers.

🚀 Services Provided

Shelley's Social Media offers services designed to enhance digital presence, including: ✅ Social Media Management ✅ Social Media Marketing ✅ PPC Advertising Campaigns ✅ SEO Services ✅ Website Design

These services may include social media strategy, content creation, analytics reporting, advertising campaign management, SEO audits, website design and development, and other tailored solutions based on the Client’s business needs.

💳 Payment and Billing Policy

Billing Structure:

  • 📅 Social Media Management & Marketing: Billed monthly.

  • 📅 PPC Advertising Services: Billed monthly.

  • 📅 SEO Services: Billed monthly or according to a custom agreement.

  • 📅 Website Design: Billed according to the scope of the project or custom agreement.

Payment Terms:

  • 💰 All payments are due in advance of service delivery and are non-refundable.

  • 💰 Payments must be made before the start of each new billing cycle. Services will be paused if payments are not made in advance.

📅 Scheduling and Cancellations

Scheduling: Clients must schedule consultations or sessions through the Company’s provided scheduling platform.

Cancellation Policy:

  • ⏳ A minimum of 24 hours' notice is required for cancellations or rescheduling. Failure to do so will result in a forfeited session without a refund.

Rescheduling:

  • 🔄 Rescheduling is subject to availability and must be requested at least 24 hours before the scheduled session.

Appointment No-Shows:

  • ❌ An appointment is considered a no-show if the client does not join the phone call or Zoom meeting within 10 minutes for a 30-minute meeting or 15 minutes for a meeting longer than 30 minutes. No-shows will count as an appointment/session, and any rescheduling will incur an additional cost of $75 for 30 minutes and $150 for 60 minutes.

  • 🔑 Account Access: Clients must provide necessary access to accounts required for service delivery.

  • 📦 Content Delivery: Clients must provide necessary content within agreed-upon timeframes.

  • ✅ Compliance: Clients must ensure all ad content complies with platform policies and legal standards.

  • 🌐 Website & SEO Maintenance: Clients must inform the Company of major changes affecting SEO performance.

  • 📢 Ongoing Communication: Clients must maintain open communication and provide timely feedback.

  • 🛠 Third-Party Tools: Clients must ensure third-party tools function correctly.

🚫 No Guarantees

Shelley's Social Media provides expert guidance but does not guarantee specific outcomes such as increased traffic, sales, or engagement.

🔒 Data Management, Security, and Record Retention

  • 🔐 Clients are responsible for securing and managing data.

  • 💾 Backups should be maintained by the Client.

  • 🗑 Client records will be securely destroyed after one year unless requested.

🔏 Confidentiality and Intellectual Property

  • 🤝 Both parties agree to confidentiality obligations.

  • 📄 Strategies, content, and materials created by Shelley's Social Media remain our intellectual property.

⏳ Payment Terms and Late Payment Policy

  • 💳 Late payments will incur a $30 fee if not paid within 5 days.

  • 📅 A 5% fee applies if overdue after 19 days, with 1.5% interest per month.

  • ⏸ Services will be suspended if payment is not received within 19 days.

🔄 Termination and Refunds

  • 📝 Services may be terminated with written notice.

  • ❌ Payments are final and non-refundable.

⚖️ Limitation of Liability and Governing Law

  • 🚫 Shelley's Social Media is not liable for indirect or consequential damages.

  • ⚖️ This policy is governed by the laws of the State of Wisconsin.

🛑 Early Cancellation

  • 📨 Clients must provide a 30-day written cancellation request.

  • 💵 A Service Termination Fee of 25% of the remaining balance will apply.

🔹 Additional Policies

🤝 Collaboration and Client Responsibilities

The Client agrees to maintain open and timely communication. The Client acknowledges that achieving the desired outcomes requires a collaborative effort, including but not limited to providing necessary documents, images, content, or any other materials as requested. The Client further agrees to respond promptly to requests for feedback, clarification, and approval. Delays in communication or content submission may impact service effectiveness.

🔏 Mutual Confidentiality Clause

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of service. Neither party shall disclose proprietary information to third parties without prior written consent. Confidentiality obligations remain in effect even after termination of services.

📜 Representations and Warranties

Shelley's Social Media provides services with industry expertise but does not guarantee specific outcomes due to changes in search engine algorithms and social media policies. Clients are responsible for providing legally obtained content and will indemnify the Company against any third-party claims related to provided materials.

🔐 Data Management, Security, and Record Retention

Clients are responsible for implementing tools to manage, store, and secure data. While we take reasonable precautions, we are not liable for data loss, breaches, or unforeseen events affecting stored information. Clients must back up critical data regularly. Records in our possession will be destroyed after one year.

❗ Disclaimer of Warranty

We do not guarantee specific website traffic numbers, first-page search engine rankings, or social media engagement levels due to platform algorithm changes. We are not responsible for exclusions from search engines or social media listings.

💳 Payment Terms and Late Payment Policy

All payments are due on the specified due date. Late fees apply for overdue payments, and services may be suspended after 19 days of non-payment. Interest accrues at 1.5% per month on unpaid balances.

⚠️ Limitation of Liability

Shelley's Social Media is not liable for software issues, search engine changes, data breaches, or any indirect damages. Liability is limited to the total amount paid for services in the previous six months.

🔓 Access and Data Management upon Cancellation

Upon service cancellation, access to accounts will be removed within 30 days. Clients are responsible for retrieving necessary data during this period. Files stored in our online platforms will be deleted after three months. Additional support post-cancellation is available at an hourly rate of $265.

📩 Early Cancellation Process

Clients must submit a 30-day written cancellation request to shelley@shelleyssocialmedia.com. A Service Termination Fee of 25% of remaining payments applies, payable immediately to finalize cancellation.
